Terms of Service — public offer for access to the Steward software product

This document is a public offer by the individual entrepreneur Hladko O.V. (the “Provider”), registered in Ukraine, to enter into an agreement for access to the Steward software product (the “Service”) on the terms below.

The offer is addressed to businesses — sole traders and legal entities using the Service in their own commercial activity of managing short-term rental properties. The Service is not intended for purchase by individuals for personal needs unrelated to business activity.

Under Articles 633, 641 and 642 of the Civil Code of Ukraine and Article 11 of the Law of Ukraine “On Electronic Commerce”, full and unconditional acceptance of this offer occurs when the Customer either activates the trial period in the Service’s Telegram bot or pays for a selected plan.

By accepting, the Customer confirms they have read, understood and accepted these terms and the Privacy Policy without reservation.

Service (Steward) — a software product for running short-term rental operations: creating and dispatching work tasks, messaging with field workers, storing instructions and photo reports.

Telegram bot — @strsystems_bot, the sole interface to the Service.

Account — the Customer’s data in the Service, linked to their Telegram account.

Property — a unit of real estate (apartment, house, room) added by the Customer to the Service.

Billing period — the term paid for under the selected plan.

The Provider grants the Customer the right to access the Service through the Telegram bot, and the Customer undertakes to pay for that right under the selected plan.

The service is delivered remotely over the internet. No copies of software, intellectual property rights or source code are transferred to the Customer.

Access is granted for the term of the selected plan and renews automatically under section 5 unless the Customer cancels.

The following plans apply:

Every plan covers up to 5 Properties. Each additional Property costs USD 5 per month, multiplied by the number of months in the selected plan.

Prices are stated in US dollars. Payment is taken in Ukrainian hryvnia at the US dollar selling rate set by JSC Universal Bank TM MONOBANK on the day of the charge, as in effect when the payment is created.

The Provider is a single-tax payer of the third group and is not a VAT payer. No VAT is added to the price.

The Provider may change prices with at least 30 calendar days’ notice given in the Telegram bot. A change does not affect an already-paid Billing period.

Payment is made by bank card through the Plata by mono acquiring service (JSC Universal Bank) TM MONOBANK.

The first payment is made by the Customer and simultaneously constitutes consent to automatic charging of subsequent Billing periods to the same card, without separate confirmation, on the first day of each new period.

If an automatic charge fails, the Provider retries over three calendar days. If payment is still not received, access is suspended until payment is made. The Customer’s data is not deleted.

A fiscal receipt is issued electronically in accordance with Ukrainian law on cash-register operations.

The Provider offers 14 calendar days of free access to the full Service, once per Telegram account.

The trial requires no card details and does not convert into a paid subscription automatically. When it ends, access is suspended until payment is made.

The Customer may cancel at any time by sending /unsubscribe in the Telegram bot. No written request is required.

After cancelling, access continues until the end of the Billing period already paid for. No further charges are made.

Customer data is not deleted on cancellation. Access can be restored at any time with /subscribe, continuing with the existing data.

The Provider undertakes to: give access to the Service for the paid period; apply organisational and technical measures to protect the Customer’s data; notify of changes as set out in this agreement.

The Provider may suspend access for non-payment (clause 5.4) or where the Service is used in breach of Ukrainian law or these terms.

The Customer undertakes to: provide accurate information; not share account access with third parties; use the Service in accordance with Ukrainian law.

The Customer manages their own relationships with staff, contractors, property owners and guests. The Provider is not a party to those relationships.

The Service is provided “as is”. The Provider does not guarantee uninterrupted or error-free operation, as the Service depends on Telegram, booking platforms, payment systems and networks outside its control.

The Provider is not liable for the acts or omissions of the Customer’s staff and contractors, for the quality of their work, or for loss caused by the Customer or their staff sharing access codes with third parties.

Personal data is processed under the Law of Ukraine “On Personal Data Protection” on the terms set out in the Privacy Policy, which forms an integral part of this agreement.

For the personal data of staff, contractors and other people the Customer enters into the Service, the Customer is the controller and the Provider acts as processor, processing that data solely to deliver the service under this agreement.

Neither party is liable for failure to perform caused by force majeure, including military action, the imposition of martial law, emergency power and communications outages, decisions of state authorities, or outages of third-party services.

This offer takes effect when published at str.systems/legal/oferta and remains in force until withdrawn by the Provider.

The Provider may amend these terms. A new version takes effect on publication. Continued use of the Service after that constitutes acceptance. Changes do not apply to an already-paid Billing period.

The agreement formed by accepting this offer runs until access ends under section 7.

This agreement is governed by the law of Ukraine.

Disputes are settled by negotiation. Failing agreement, a dispute is referred to the court at the Provider’s place of registration in accordance with Ukrainian law.
